Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the SpecInspect mobile application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old to use SpecInspect. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Account and Registration

To access certain features of SpecInspect, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information (name, email address, company name).
• Maintain and promptly update your account information to keep it accurate.
• Keep your password confidential and not share it with others.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately at paul@specinspect.com if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Subscriptions and Pricing

SpecInspect offers the following subscription plans. All subscriptions are managed through the Apple App Store and are subject to Apple's standard terms and conditions.

3.1 Billing and Renewal

• All subscriptions are billed through Apple's In-App Purchase system.
• Subscriptions automatically renew at the end of each billing period (monthly or annually) unless auto-renewal is turned off at least 24 hours before the end of the current period.
• Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.
• You can manage your subscription and turn off auto-renewal in your Apple ID Settings > Subscriptions at any time, or online at apple.co/subscriptions.

3.2 Cancellation and Refunds

• How to Cancel: You can cancel your subscription at any time by going to Settings → [Your Name] → Subscriptions on your iOS device, or by visiting apple.co/subscriptions. Cancellation takes effect at the end of the current billing period.
• No Partial Refunds: We do not provide partial refunds for unused portions of a billing period. You will retain access to paid features until the end of your current billing period.
• Refunds: Refund requests are handled by Apple through their standard refund process. You may request a refund by visiting Apple's refund page or by contacting Apple Support.
• Subscription Status: After cancellation, you can verify your subscription status in Settings → [Your Name] → Subscriptions.

3.3 Price Changes

We may change our pricing from time to time. Price increases will take effect at the start of your next billing cycle. We will provide notice of any material price change at least 30 days in advance. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

4. Free Trial

SpecInspect offers a 14-day free trial of the Pro plan for new subscribers. The following terms apply:

• The free trial begins when you first subscribe to the Pro plan and lasts for 14 consecutive days.
• During the trial period, you will have full access to all Pro features at no charge.
• Auto-renewal: At the end of the 14-day trial, your subscription will automatically convert to a paid subscription at the then-current rate ($14.99/month or $119/year, unless launch pricing applies).
• Cancellation: You may cancel your subscription at any time before the trial ends by turning off auto-renewal in your Apple ID Settings > Subscriptions. If you cancel before the trial period ends, you will not be charged.
• If you cancel during the trial, your access to Pro features will continue until the end of the trial period.
• Free trials are limited to one per user. Creating multiple accounts to receive additional free trials is prohibited.

5. Product Data Disclaimer

Important: SpecInspect provides product specifications and technical data sheets ("Product Data") sourced from publicly available manufacturer data. This Product Data is provided on an "as-is" basis.

• No Warranty of Accuracy: While we strive to maintain accurate and up-to-date information, we do not guarantee that any Product Data is complete, current, or error-free. Manufacturers may update product specifications without notice.
• Not a Substitute for Professional Judgment: Product Data is provided for informational purposes only and should not be used as the sole basis for construction, engineering, or procurement decisions. Always verify product specifications directly with the manufacturer before use.
• No Liability for Product Data: SpecInspect LLC is not liable for any inaccuracies, errors, or omissions in Product Data, or for any loss, damage, or injury resulting from reliance on such data. Use of any product specification is at your own risk.
• Manufacturer Responsibility: All product specifications, technical data, and performance claims belong to their respective manufacturers. SpecInspect does not modify, endorse, or guarantee any manufacturer's data.

6. Acceptable Use

You agree not to use SpecInspect to:

• Violate any applicable laws, regulations, or third-party rights.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code of the application.
• Use automated systems (bots, scrapers) to access the Service or extract data at scale.
• Create multiple accounts to circumvent free trial limitations.
• Share your account credentials with others (except as permitted under Team plans with designated seats).
• Upload content that is unlawful, harmful, threatening, abusive, or objectionable.
• Interfere with or disrupt the Service's servers, networks, or infrastructure.
• Attempt to gain unauthorized access to any part of the Service or any system connected to the Service.
• Use the Service to compete directly with SpecInspect or create a similar product database or specification service.

We reserve the right to suspend or terminate access for any user who violates these terms.

7. Intellectual Property

• Our Content: The SpecInspect application, including its original content, features, functionality, user interface, design, and branding, is owned by SpecInspect LLC and protected by copyright, trademark, and other intellectual property laws.
• Product Data: All product specifications, technical data, brand names, logos, and trademarks referenced in the Service belong to their respective manufacturers and owners. Their inclusion in SpecInspect does not imply endorsement or affiliation.
• Your Content: You retain ownership of any projects, submittals, and data you create within the Service. By using the Service, you grant us a limited license to store and process your content solely for the purpose of providing the Service.
• License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business use.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• SpecInspect LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.
• Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid to SpecInspect in the twelve (12) months preceding the claim.
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• We are not responsible for the accuracy, completeness, or reliability of any Product Data or third-party content accessed through the Service.

9. Termination

• By You: You may cancel your subscription at any time through your Apple ID Settings > Subscriptions. Upon cancellation, you will retain access to paid features until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.
• Account Deletion: You may delete your account at any time by going to Account → Delete Account in the app. Deleting your account will permanently remove your personal data, saved specs, projects, and team associations within 30 days, subject to legal retention requirements. Cancelling your subscription does not delete your account. Account deletion is available both within the app and by contacting us at paul@specinspect.com.
• By Us: We may suspend or terminate your account if you violate these Terms, with prior notice where possible. We may also terminate or discontinue the Service at any time with reasonable notice.
• Effect of Termination: Upon termination, your right to use the Service will cease. Provisions that by their nature should survive termination (including limitations of liability, intellectual property, disclaimers, and governing law) will remain in effect.
• Data Retention: We will retain your account data for 30 days after termination. After that, your data may be permanently deleted. You may request a copy of your data before deletion by contacting us.

10. Dispute Resolution

10.1 Informal Resolution

If you have a dispute with SpecInspect, we encourage you to first contact us at paul@specinspect.com to attempt to resolve the matter informally. We will attempt to resolve your concern within 30 days.

10.2 Arbitration

If informal resolution is unsuccessful, you and SpecInspect agree to resolve any disputes through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in New York, New York, and may be held remotely.

10.3 Class Action Waiver

You and SpecInspect agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration against SpecInspect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes not resolved through arbitration (as described in Section 10) shall be subject to the exclusive jurisdiction of the courts of the State of New York and the United States District Court for the Eastern District of New York.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of this page.
• We will notify you via the app or by email for material changes at least 30 days before they take effect.
• Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
• If you do not agree with the revised Terms, you may cancel your subscription and stop using the Service.

13. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpecInspect regarding the Service.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Failure by SpecInspect to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Electronic Communications: By using the Service, you consent to receive communications from us electronically, including via email, push notification, and in-app messaging.
• Apple End User License Agreement (EULA): Your use of the SpecInspect app is also subject to Apple's standard App Store End User License Agreement (EULA). In the event of a conflict between these Terms and the Apple EULA, the Apple EULA shall prevail with respect to your use of the app on Apple devices.
• Third-Party Terms: Your use of Apple's App Store and In-App Purchase system is also subject to Apple's Terms of Service and Privacy Policy.
